JStock – Terms of Use and Photo Licensing Agreement
This Terms of Use and Photo Licensing Agreement (“Agreement”) constitutes a legally binding contract between JStock, operated by Shaul Greenfeld (hereinafter referred to as “JStock,” “the Archive,” “we,” or “us”), and any individual or legal entity that purchases, downloads, accesses, or otherwise uses images made available through the JStock platform (hereinafter referred to as the “Licensee,” “Purchaser,” or “User”).
By purchasing, downloading, accessing, or using any Image from JStock, the Licensee acknowledges that they have read, understood, and agreed to be bound by all terms and conditions set forth in this Agreement.
For the purposes of this Agreement, the following terms shall have the meanings set forth below:
“Image” or “Content” refers to any photograph, digital image file, metadata, IPTC data, captions, descriptions, or related materials provided by JStock.
“License” refers to the limited permission granted by JStock to the Licensee to use an Image under the specific conditions defined in this Agreement.
“Editorial Use” refers to the use of an Image in connection with news reporting, journalism, commentary, criticism, educational materials, documentary works, or factual publications. Editorial use may include newspapers, magazines, books, blogs, news websites, documentaries, television broadcasts, and similar media platforms.
“Commercial Use” refers to the use of an Image in connection with advertising, marketing campaigns, product promotion, sponsorships, endorsements, merchandise, or any activity intended to generate commercial revenue or promote a brand, product, or service.
“Project” refers to the specific publication, article, program, campaign, or media output for which the Image was originally licensed.
All Images available through JStock remain the exclusive intellectual property of Shaul Greenfeld and/or the credited photographer.
All Images are protected under applicable international copyright laws, treaties, and conventions, including but not limited to the Berne Convention for the Protection of Literary and Artistic Works.
The purchase or licensing of an Image does not constitute a transfer of copyright ownership. All copyrights and related intellectual property rights remain solely with the photographer and/or JStock.
The Licensee receives only a limited right to use the Image as defined in this Agreement.
All rights not expressly granted herein are reserved.
Subject to full payment of the applicable licensing fee, JStock grants the Licensee a limited, non-exclusive, non-transferable, and non-sublicensable license to use the licensed Image solely for the specific Project and purpose described at the time of purchase.
Unless otherwise expressly authorized in writing by JStock:
The license applies to one specific use or project only.
The license does not permit unlimited reuse, redistribution, or republication.
Any additional use, including reuse of the Image in another article, publication, campaign, or platform, requires the purchase of an additional license.
The Licensee may not sublicense, assign, transfer, or otherwise grant rights to any third party without prior written authorization from JStock.
The Licensee may not sell, license, distribute, share, or otherwise provide the Image to any third party as a standalone file.
The Image may not be uploaded to any stock photography platform, archive, template library, or digital asset management system accessible to third parties.
The Licensee must take reasonable measures to prevent unauthorized downloading or extraction of the Image from digital publications where possible.
All uses of Images must include a clear and visible credit line acknowledging the photographer.
The required credit format is:
Photo by [Photographer Name] / JStock
The credit must appear adjacent to the Image, within the body of the publication, or in the publication’s official credit list.
Failure to include proper attribution constitutes a breach of this Agreement.
In the event of such a breach, JStock reserves the right to charge an additional fee, require corrective attribution, suspend the license, or pursue legal remedies.
If an Image is published or distributed without the required credit line, the use shall be deemed unauthorized.
In such cases JStock reserves the right to charge an additional fee ranging from €500 to €5,000 per Image, depending on the scope of the unauthorized use.
Factors considered may include publication circulation, commercial benefit derived from the Image, duration of use, and the number of platforms where the Image appeared.
Payment of such a fee does not waive JStock’s right to pursue further legal action.
Images distributed by JStock primarily document public sporting events and journalistic situations.
Unless explicitly stated otherwise, Images are provided without model releases or property releases.
JStock makes no representations or warranties regarding rights of privacy, rights of publicity, trademarks, or other third-party rights that may appear in the Image.
If the Licensee intends to use the Image for commercial or promotional purposes, the Licensee bears full responsibility for obtaining all necessary permissions from relevant individuals, teams, organizations, leagues, or trademark owners.
Due to the documentary nature of sports photography, the integrity of the Image must be preserved.
The Licensee may not manipulate the Image in a manner that alters its factual meaning or creates a misleading representation.
The following actions are prohibited:
Adding or removing people or objects
Altering uniforms, logos, or identifying elements
Manipulating the scene in a way that misrepresents the event
Permitted adjustments include reasonable cropping, resizing, and basic color or exposure corrections that do not alter the editorial meaning of the Image.
The Licensee may not remove, alter, or delete embedded metadata, including EXIF or IPTC information.
Images provided by JStock may not be used for training artificial intelligence systems, machine learning models, or automated image-generation systems without explicit written permission from JStock.
This includes dataset creation, algorithm training, image synthesis, or similar technological processes.
Images may not be used in any context that is defamatory, misleading, unlawful, offensive, discriminatory, or pornographic.
Images may not be used in a manner that implies endorsement by the photographer, JStock, or the individuals depicted in the Image unless such endorsement has been explicitly authorized in writing.
Images may not be used in connection with political campaigns, propaganda, or misleading narratives without prior written approval.
The license becomes effective only after full payment has been received by JStock.
Any use of an Image prior to payment constitutes copyright infringement.
JStock reserves the right to suspend or revoke a license in cases of payment disputes, reversals, or fraudulent transactions.
JStock reserves the right to terminate the license immediately if the Licensee breaches any provision of this Agreement.
Upon termination, the Licensee must immediately cease all use of the Image and remove it from all publications, websites, and digital platforms.
All copies of the Image must be deleted from the Licensee’s possession or control.
The Licensee agrees to indemnify and hold harmless JStock, the photographer, and their respective representatives against any claims, damages, losses, liabilities, or expenses arising from the Licensee’s use of the Image.
This includes legal costs resulting from unauthorized use or violation of third-party rights.
To the fullest extent permitted by law, the total liability of JStock for any claim related to the license or use of an Image shall not exceed the total amount paid by the Licensee for that Image.
JStock shall not be liable for any indirect, incidental, consequential, or punitive damages.
This Agreement constitutes the entire understanding between JStock and the Licensee regarding the licensing and use of Images and supersedes any prior agreements or understandings.
This Agreement shall be governed by and interpreted under the laws of the State of Israel.
Any dispute arising from or related to this Agreement shall be subject to the exclusive jurisdiction of the competent courts located in the Tel Aviv District, Israel.
